Terms of Service

1. About ASP Works

ASP Works is a hotel-operations software platform provided by ASP Works LLC. It helps authorized hotel teams describe operational needs, build or configure workflows, analyze approved hotel context, manage generated systems, and connect supported outside services through controlled permissions.

2. Acceptance and authorized use

By accepting an invitation, creating credentials, or using ASP Works, you agree to these Terms and represent that you are authorized to use the platform for the hotel or organization associated with your account. You may use ASP Works only for lawful business purposes and only within the tenant, property, role and permissions assigned to you.

3. Accounts and security

You are responsible for safeguarding your login credentials, keeping account information accurate, and promptly notifying ASP Works if you believe an account or connected service has been compromised. Do not share credentials in a way that bypasses assigned user access or audit controls.

4. Trials, invitations and access

Trial and invite-only access may be time-limited, user-limited or property-limited. ASP Works may suspend, revoke or expire access when a trial ends, an invitation is revoked, a security concern exists, these Terms are violated, or continued access could put another customer, provider or the platform at risk.

5. AI-assisted features and governed execution

ASP Works may use AI-assisted features to interpret requests, summarize approved context, suggest configurations or explain information. AI output can be incomplete or incorrect and should be reviewed in context. AI assistance does not itself have authority to execute outside actions. ASP Works uses separate deterministic and governed controls for supported changes, approvals, credentials, connections, versioning and rollback.

6. Customer content and hotel data

You retain your rights in information, files, reports, configurations and other content you submit or authorize ASP Works to process. You grant ASP Works the limited right to host, process, transform and transmit that content as necessary to provide, secure and support the service and the specific features or connections you authorize.

7. Connected and third-party services

When you connect a third-party system, you authorize ASP Works to interact with that service only within the permissions and data scopes you approve. Third-party services remain governed by their own terms, privacy practices, availability and security controls. ASP Works is not responsible for outages, policy changes or acts of a third-party provider outside ASP Works' control.

8. Prohibited use

You may not use ASP Works to violate law or another person's rights; introduce malware; probe or bypass security or tenant isolation; obtain unauthorized access; interfere with the service; submit credentials where the platform instructs you not to; misrepresent authority; or use the service to facilitate fraud, harmful activity or unauthorized surveillance.

9. Confidentiality

Non-public product information, customer information, credentials, configurations and business information disclosed through ASP Works should be treated as confidential and used only for the authorized business purpose. This obligation does not apply to information that is lawfully public or independently obtained without a confidentiality duty.

10. ASP Works intellectual property

ASP Works LLC and its licensors retain rights in the platform, software, interfaces, documentation, branding, reusable components and underlying technology. Except for the limited right to use the service under these Terms, no ownership is transferred to you.

11. Service changes and availability

ASP Works may improve, update, add, remove or modify features as the product evolves. We aim to operate the service reliably but do not promise uninterrupted or error-free availability. Planned or emergency maintenance, provider outages and security controls may temporarily affect access.

12. Fees and paid service

Invite-only trial access does not create a payment obligation unless a separate offer, order or subscription says otherwise. Any paid plan, renewal, usage charge, tax or cancellation right will be governed by the applicable order or subscription terms presented before charging.

13. Disclaimers

To the maximum extent permitted by law, ASP Works is provided on an "as available" basis and ASP Works LLC disclaims implied warranties that cannot reasonably be guaranteed for evolving software. ASP Works is an operational technology service and is not legal, tax, accounting, medical or other regulated professional advice.

14. Limitation of liability

To the maximum extent permitted by law, ASP Works LLC will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for lost profits, revenue, goodwill or data arising from use of the service. Any direct liability will be limited to the amount paid for the affected service during the twelve months before the event giving rise to the claim, or, for a free trial, one hundred U.S. dollars, except where applicable law does not permit that limitation.

15. Termination

You may stop using ASP Works at any time. ASP Works may terminate or suspend access as described above. Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers and liability limitations, will survive.

16. Changes to these Terms

ASP Works may update these Terms as the service changes. The effective date will be updated when material revisions are posted. Continued use after an updated version becomes effective constitutes acceptance to the extent permitted by law.
